Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using the Wazeh360 eInvoicing platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, “you” refers to that entity.
These Terms constitute a legally binding agreement between you and The Ignite Marketing FZ LLC (“Wazeh360”, “we”, “us”).
2. Service Description
Wazeh360 is a UAE FTA-compliant eInvoicing Software-as-a-Service (SaaS) platform that enables businesses to:
- Create and manage VAT-compliant invoices under UAE Federal Tax Authority requirements
- Transmit invoices via the UAE Peppol network (Phase 1 mandate)
- Manage business parties (customers and suppliers)
- Obtain and maintain an Accredited Service Provider (ASP) appointment certificate
- Access compliance reporting and audit logs
- Integrate with ERP systems via API
The Service is designed for UAE-registered businesses. Use outside the UAE or for non-UAE tax obligations is at your own risk; we make no representation about compliance with laws of other jurisdictions.
3. Account Registration
- You must provide accurate, current, and complete information
- You must provide a valid UAE Tax Registration Number (TRN) to use core invoice transmission features
- You are responsible for maintaining the confidentiality of your password
- You must notify us immediately at security@wazeh360.com of any unauthorised account access
- Each account corresponds to one organisation. You may invite team members within your plan's limits
- You must be at least 18 years old to use the Service
4. Subscription Plans and Billing
We offer the following subscription plans (pricing in AED, exclusive of VAT):
- Starter: AED 99/month — up to 100 invoices/month, 5 team members
- Business: AED 299/month — up to 1,000 invoices/month, 25 team members
- Enterprise: Custom pricing — unlimited invoices, unlimited users, dedicated support. Contact sales@wazeh360.com.
Subscriptions renew automatically at the end of each billing period unless cancelled. We reserve the right to change plan pricing with 30 days' notice.
5. Free Trial
- New accounts receive a 14-day free trial with access to all features
- No credit card is required to start a trial
- At the end of the trial, invoice transmission to the live Peppol network will be suspended until you subscribe to a paid plan
- Invoice data created during the trial is retained and accessible if you subscribe
- Each organisation is entitled to one free trial
6. Payment and Refunds
- Payments are processed securely via Stripe. We do not store your full payment card details
- Subscriptions are billed in advance at the start of each billing period
- All amounts are in UAE Dirhams (AED). Applicable UAE VAT (5%) will be added at checkout
- We offer a 7-day refund policy for new paid subscriptions. After 7 days, no refunds are provided for the current billing period
- To request a refund, email billing@wazeh360.com within 7 days of your first payment
- If a payment fails, we will retry up to 3 times over 7 days. If payment continues to fail, your subscription will be suspended
7. User Responsibilities
You agree to:
- Ensure all invoice data you submit is accurate and lawful
- Comply with all applicable UAE laws including the UAE Federal Tax Law, FTA regulations, and anti-money laundering requirements
- Obtain all necessary consents before submitting third-party personal data
- Maintain accurate TRN and business registration information
- Not share your login credentials with parties outside your organisation
- Keep your contact email and billing information up to date
8. Prohibited Uses
You must not use the Service to:
- Submit false, fraudulent, or fabricated invoices
- Evade UAE tax obligations or assist others in doing so
- Transmit invoices on behalf of organisations that have not authorised you
- Attempt to gain unauthorised access to other accounts or our infrastructure
- Reverse engineer, decompile, or extract the source code of the platform
- Scrape, crawl, or systematically extract data from the platform
- Use the Service in any way that violates applicable law or these Terms
Breach of this section may result in immediate account suspension and reporting to relevant authorities including the UAE FTA.
9. Intellectual Property
- Our IP: The Wazeh360 platform, software, design, trademarks, and documentation are owned by or licensed to The Ignite Marketing FZ LLC. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription.
- Your data: You retain full ownership of all invoice data, customer data, and business information you upload to the Service. You grant us a limited licence to process this data solely to deliver the Service.
10. Data Ownership and Portability
Your business data belongs to you. You can export all your data at any time via Settings → Security → Export data. Exported data includes invoices, customers, and audit logs in JSON format.
If you cancel your subscription, your data remains accessible for 90 days. After this period, account data is deleted, subject to FTA-mandated retention periods for tax records (7 years).
11. Service Availability
- We target 99.9% uptime, measured monthly, excluding scheduled maintenance
- No SLA (Service Level Agreement) applies to free trial accounts
- Scheduled maintenance windows will be announced at least 24 hours in advance via email or in-app notification
- We are not responsible for service interruptions caused by third parties (Peppol network, FTA systems, Stripe, etc.)
12. Third-Party Services
The Service integrates with third-party services including Storecove (Peppol), Stripe (billing), Resend (email), and Supabase (database). Your use of these services through Wazeh360 is also subject to their respective terms of service. We are not responsible for the actions or failures of these third-party services.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability for any claims arising from these Terms or the Service is limited to the total fees you paid to us in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- We are not liable for FTA penalties, fines, or enforcement actions arising from your use of the Service or your own non-compliance with UAE tax law
Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded by UAE law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Wazeh360, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law, including UAE tax law
- Invoice data you submit that is inaccurate, fraudulent, or unlawful
- Your violation of third-party rights
15. Termination
- By you: Cancel your subscription at any time via Settings → Billing. Access continues until the end of your paid period.
- By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay, engage in fraudulent activity, or if required by law. We will generally provide 14 days' notice unless the breach is severe.
- Upon termination, your right to use the Service ends. Data export remains available for 90 days after termination.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and in-app notification at least 30 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept, you may cancel your subscription before the effective date.
17. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the United Arab Emirates
- Any disputes shall be subject to the exclusive jurisdiction of the Dubai courts
- We both agree to first attempt to resolve disputes informally by contacting legal@wazeh360.com
